Terms of Service

These Terms of Service govern your access to and use of the CapFit platform, including the website, your account, the assessment tools and any report you generate or purchase. By registering an account or using the platform, you agree to these Terms. If you do not agree, do not use the platform.

You are agreeing to these Terms on behalf of the business you represent, and you confirm that you are authorised to do so. References to "you" mean both you personally and that business.

1. About CapFit and what the platform does

CapFit is a software platform that helps Indian small and medium businesses understand their readiness to raise capital. You provide information about your business and its finances, and the platform produces a structured assessment and a report describing what the information shows.

CapFit is a technology service. It is not a bank, a non-banking financial company, a lender, a broker, an arranger of finance, an investment adviser or a credit rating agency, and it does not hold any licence to act as one.

2. The platform does not provide financial advice

Nothing produced by the platform is advice. An assessment, a report, an indicative figure, an observation or a recommendation is informational output generated from the information you supply. It is not legal, tax, accounting, investment or financial advice, and it is not a lending decision or an offer of finance.

CapFit does not lend, does not arrange, introduce or guarantee finance, and does not promise that any lender, investor or institution will provide capital to you or will rely on anything the platform produces. Every institution makes its own decisions on its own criteria.

You should obtain advice from a qualified professional who knows your circumstances before acting on anything the platform produces. You are responsible for decisions you take, and for their consequences.

3. Eligibility and your account

You may use the platform only if you are at least 18 years old and capable of entering into a binding contract under Indian law, and only in connection with a business purpose. The platform is not intended for personal or household use.

You must give accurate registration details, including a valid email address that you control, and keep them current. You are responsible for everything done through your account and for keeping your credentials confidential. Tell us promptly if you believe your account has been used without your authorisation.

We may refuse, suspend or close an account where we reasonably believe these Terms have been breached, where the account is being used unlawfully, or where we are required to do so.

4. Information you provide, and its accuracy

The platform's output depends entirely on the information you provide, including business details, financial figures and any documents you upload. You are responsible for the accuracy and completeness of that information and for having the right to share it with us.

Where the platform reads figures from a document you upload, it presents what it has read for you to confirm or correct before those figures are used. Automated reading is not perfect and confirmation remains yours.

If the information you supply is inaccurate, incomplete or out of date, the output will reflect that. We do not independently verify the information you provide and we do not audit your business.

5. Free and premium features

Some features are available without payment. A premium report is a paid digital product that unlocks additional analysis and export of your report for the assessment it was purchased against.

Premium access is granted for the assessment you purchased it for. It is not transferable to another assessment, another account or another business. Where premium access is granted for a limited period, the period is shown to you and access ends when it expires unless it is extended.

We may grant premium access without payment, for example under a promotional programme. Access granted that way may be limited in number or duration and may be withdrawn where it was granted in error or obtained improperly.

6. Fees and payment

Prices are shown on the platform before you purchase, in Indian Rupees. The price applicable to a purchase is the price displayed at the time you place it. Applicable taxes are payable in addition unless the platform states otherwise at the point of purchase.

Payments are processed by a third-party payment gateway. When you pay, you also accept the payment gateway's own terms. CapFit does not receive or store your full card number, CVV, UPI credentials, net-banking credentials or any equivalent payment secret.

Access to a premium report is granted after the platform has verified the payment. If a payment succeeds but access is not granted, contact us using the details on our contact page and we will correct it.

A failed, reversed, disputed or charged-back payment may result in premium access being withdrawn for the assessment concerned.

7. Refunds and cancellation

Refunds and cancellation are governed by our Refund and Cancellation Policy, which forms part of these Terms and is published on this website.

8. Acceptable use

You agree not to use the platform unlawfully, and not to upload information you have no right to share, including another person's personal or financial information without their authority.

You agree not to attempt to gain unauthorised access to the platform, any account or any underlying system; not to interfere with its operation or security; not to probe, scan or test its vulnerabilities without our written consent; and not to use automated means to extract data from it at scale.

You agree not to resell, sublicense or commercially redistribute the platform or its output as a product of your own, and not to present the output as an assessment issued or endorsed by any lender, investor or regulator.

You agree not to misrepresent your identity, your authority to act for a business, or the source of the information you provide.

9. Your content and our platform

You keep ownership of the information and documents you provide. You grant CapFit a licence to host, process, analyse and display that material to the extent needed to operate the platform and provide the service to you, and to retain it as described in the Privacy Policy.

CapFit owns the platform, its software, its methodology, its assessment framework and the design and structure of its reports. Nothing in these Terms transfers that ownership to you.

You may use, download and share the report you generate for your own business purposes, including sharing it with your advisers or with an institution you are approaching. That permission does not extend to reproducing CapFit's methodology or presenting it as your own.

10. Communications

By registering, you agree that we may contact you by email about your account, your assessments, your purchases and material changes to the service. These are service communications and you cannot opt out of them while you hold an account.

We use a third-party provider to send email. We cannot guarantee that every message is delivered to your inbox, and delivery may be affected by your mail provider or filters. If something important depends on an email you did not receive, the platform itself remains the source of truth for your account and your reports.

11. Availability, changes and suspension

We aim to keep the platform available but we do not promise uninterrupted or error-free operation. Access may be unavailable during maintenance, or because of failures in systems or services we depend on.

We may change, add to or withdraw features. Where a change materially reduces a paid feature you currently hold, we will take reasonable steps to tell you.

We may suspend access where we reasonably believe it is necessary to protect the platform, our users or a third party, or to comply with law.

12. Third-party services

The platform relies on third parties for hosting, storage, authentication, payment processing and email delivery. Their availability and performance are outside our control, and we are not responsible for their acts or omissions beyond what is required by law.

Where the platform links to a third-party site, we do not endorse it and we are not responsible for its content or practices.

13. Disclaimers

To the maximum extent permitted by law, the platform is provided "as is" and "as available", and we exclude all warranties, conditions and representations not expressly set out in these Terms, whether implied by statute, common law or otherwise.

In particular, we do not warrant that any assessment or report is accurate, complete or fit for a particular purpose, that it will result in an offer of finance, or that any institution will accept or rely on it.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation.

14. Limitation of liability

To the maximum extent permitted by law, CapFit is not liable for loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of opportunity, loss of goodwill, loss or corruption of data, or for any indirect or consequential loss, however arising.

To the maximum extent permitted by law, CapFit's total aggregate liability arising out of or in connection with these Terms and your use of the platform, whether in contract, tort including negligence, or otherwise, is limited to the total amount you paid to CapFit in the twelve months immediately before the event giving rise to the claim.

You accept that the platform's output is informational and that decisions about raising capital, and their consequences, are yours.

15. Indemnity

You agree to indemnify CapFit against claims, losses and reasonable costs arising from your breach of these Terms, from information you provide that you had no right to provide, or from your unlawful use of the platform.

16. Term and termination

These Terms apply while you hold an account or use the platform. You may stop using the platform at any time and may ask us to close your account.

We may terminate or suspend your access where you materially breach these Terms, where your use exposes us or another user to legal or security risk, or where we are required to do so.

On termination, your right to use the platform ends. Sections that by their nature should survive, including those on intellectual property, disclaimers, limitation of liability, indemnity and governing law, continue to apply. Retention of your information after closure is described in the Privacy Policy.

17. Changes to these Terms

We may update these Terms. The version published on this page, with its effective date, is the version that applies. Where a change is material, we will take reasonable steps to notify you, including by email or by notice on the platform.

Continuing to use the platform after a change takes effect means you accept the updated Terms.

18. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them, including any non-contractual dispute, are governed by the laws of India.

The courts at Chennai, Tamil Nadu have exclusive jurisdiction, and you and CapFit submit to that jurisdiction.

Before commencing proceedings, each party agrees to raise the matter in writing and to attempt in good faith to resolve it for a period of thirty days. This does not prevent either party from seeking urgent interim relief.

19. General

If any provision of these Terms is held to be unenforceable, the remainder continues in force. A delay in enforcing a right is not a waiver of it.

You may not assign your rights under these Terms without our written consent. We may assign ours as part of a reorganisation or transfer of our business.

These Terms, together with the Privacy Policy and the Refund and Cancellation Policy, are the entire agreement between you and CapFit in relation to the platform.

Questions about these Terms, and any grievance about the service, can be raised using the details published on our contact page. We aim to acknowledge a grievance within a reasonable period and to resolve it promptly.
